**Terms & Conditions**
These Terms and Conditions govern all sales and services provided by Diamed Engineering Ltd, a company registered in England & Wales with registered office at Friars House, Manor House Drive, Coventry, CV1 2TE.
By placing an order with us, you agree to the following terms:

1. Definitions
- **"Company"** refers to Diamed Engineering Ltd.
- **"Customer"** refers to the individual or business purchasing goods or services from the Company.
- **"Goods"** refers to the products sold.
- **"Services"** refers to engineering, installation, testing or support provided by the Company.

2. General
2.1 These terms apply to all orders unless varied in writing and agreed by both parties.
2.2 Any terms submitted by the Customer are excluded unless specifically agreed.
2.3 The Company may conduct credit checks before fulfilling orders.

3. Delivery
3.1 Delivery times are estimates and may vary. Time shall not be of the essence unless agreed in writing.
3.2 Orders may be delivered in instalments. Each instalment is considered a separate contract.
3.3 Risk transfers to the Customer upon delivery or attempted delivery. Claims for loss/damage must be made within 3 days.

4. Cancellations & Returns
4.1 Orders for standard goods can be cancelled prior to dispatch only. Cancellation of custom/special orders may incur charges.
4.2 All returns must be pre-approved by emailing **office@diamedengineering.co.uk**.
4.3 Items must be returned within 14 calendar days of delivery and must:
- Be **unused and in original condition**
- Include **original, undamaged packaging**, operating manuals, accessories, and warranty cards
- Be securely packaged for return shipping
4.4 Returns without a valid invoice number or return authorisation may be refused.
4.5 **Restocking Fee**: A restocking charge of up to 19% may be applied for non-faulty returns.
4.6 The customer is responsible for return shipping costs unless the item is faulty or incorrect.
4.7 Faulty items must be reported within **7 calendar days**. Evidence (photos/videos) may be required.
4.8 Returns that arrive damaged due to insufficient packaging will not be credited.

5. Prices & Payment
5.1 Prices are listed in GBP and exclude VAT unless stated.
5.2 The Company reserves the right to amend pricing or correct errors at any time.
5.3 For business customers, payment is due within 30 days of the invoice unless otherwise agreed.
5.4 Late payments may incur interest at 5% per month and recovery costs.
5.5 Consumer orders must be paid in full prior to dispatch unless agreed in writing.

6. Title & Risk
6.1 Risk passes to the Customer upon delivery.
6.2 Legal title remains with the Company until payment is received in full.
6.3 Until title passes, the Company may reclaim goods and access the Customer’s premises if needed.

### 7. Warranty & Support
7.1 Products may carry manufacturer warranties.
7.2 Warranty claims due to misuse, poor maintenance or unauthorised repair may be rejected.
7.3 The Customer is responsible for ensuring installation and use complies with local regulations and guidelines.

8. Liability
8.1 The Company shall not be liable for indirect, incidental, or consequential loss.
8.2 For direct claims, liability is limited to the value of the goods or services supplied.
8.3 The Company’s total liability shall not exceed the value of the order.
8.4 This does not exclude liability for death or personal injury resulting from negligence.

9. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of English courts.
